Lumibird: Sale of Lumibird Medical to IPG Photonics signed, valued at €300 million enterprise value
The laser specialist has reached a new milestone in the sale of its medical division, with a contract now signed and completion anticipated in the fourth quarter 2026.
Enterprise value of €300 million and earn-out potentially reaching €50 million
Lumibird Group announced the signing on September 8, 2026, of a share purchase agreement relating to the acquisition of Lumibird Medical by IPG Photonics Corporation. This signature follows the entry into exclusive negotiations on July 16, 2026, and the conclusion of the information and consultation procedure with employee representative bodies. The transaction is based on an enterprise value of 300 million euros, which may be increased by an additional payment (earn-out) potentially reaching 50 million euros depending on the performance of the Medical division in 2026 and 2027. This additional payment is structured in two tranches: the first (2026) is based on revenue thresholds of 119 million euros to 132.5 million euros, with an adjustment linked to EBITDA; the second (2027) applies to the remaining balance based on revenue thresholds of 134.125 million euros to 141 million euros.
Suspensive conditions, AMF clearance and non-binding shareholders vote
The transaction was unanimously approved by the Board of Directors and supported by the majority shareholder. Its completion could take place during the fourth quarter of 2026 and remains subject to the satisfaction of customary suspensive conditions, in particular the granting by the AMF of a clearance from filing a public withdrawal offer under Article 236-6 of the AMF General Regulation. An ordinary general meeting will convene on October 20, 2026, to vote on a non-binding basis regarding the transaction, in accordance with AMF recommendation 2015-05.
Between €232 million and €263 million could be returned to shareholders
In the event the transaction is completed, Lumibird will allocate €37 million to the repayment of group debt. A significant portion of the sale proceeds would be distributed to shareholders, the amount of which will depend in particular on the price at the completion date. As of the announcement date, the amount to be returned is estimated at between €232 million and €263 million. This distribution would take the form in part of a distribution of reserves and premiums in the amount of approximately €152 million, subject to the vote of the general meeting on October 20, 2026, as well as an interim dividend estimated at between €80 million and €110 million. The balance would be primarily devoted to investments in the Photonics Division.
