Schneider Electric Acquires Cognite for $3.1 Billion to Strengthen AVEVA
Schneider Electric announced on Tuesday its acquisition of Cognite Holding, a platform specializing in data and industrial artificial intelligence software, for $3.1 billion in cash. The operation aims to strengthen AVEVA, its industrial software subsidiary, by consolidating its AI capabilities applied to production chains and asset management.
A Major Acquisition to Consolidate Industrial AI Positioning
Schneider Electric is making a major strategic shift by acquiring 100% of Cognite, a company founded in 2017 with over 800 employees located in America, Europe, the Middle East, and Asia-Pacific. The transaction, amounting to $3.1 billion in cash, reflects the importance the group places on integrating AI capabilities into its software portfolio. Cognite recorded a revenue exceeding $170 million in 2025, marked by a 36% growth in annual recurring revenue (ARR). The Atlas AI platform has seen rapid adoption over the past fiscal year, according to the release. This acquisition is part of a technological strengthening strategy rather than geographical expansion.
Direct Synergy with AVEVA's CONNECT Platform
The integration of Cognite into AVEVA should allow a direct synergy between the CONNECT industrial management platform and the data modeling and AI capabilities offered by Cognite. The combination is expected to expand CONNECT with enterprise-level data historization features and agent-based AI capabilities, enabling the automation of industrial workflows. Cognite will notably bring two major technological components: a data foundation based on its Data Fusion technology and a knowledge graph for data integration and contextualization; an AI platform incorporating advanced modeling, generative AI, and agent-based AI capabilities. Olivier Blum, CEO of Schneider Electric, emphasized that this combination positions the group 'at the center of the next phase of industrial intelligence'.
Closing Expected in the Coming Quarters
The completion of the transaction remains subject to customary closing conditions, including the receipt of necessary regulatory approvals. Schneider Electric expects to finalize the operation in the coming quarters. Upon closing, Cognite will be integrated into AVEVA and financially consolidated within the group's Industrial Automation division.
