Unify Group proposes to repurchase 1.51% of its capital at €2.70, representing a 71.3% premium
Unify Group's board of directors approved on October 14, 2026, in principle, a simplified public purchase offer on its own shares for cancellation purposes, at a price that would represent a 71.3% premium over the last closing price preceding the announcement.
Up to 926,000 shares repurchased for a maximum of €2,500,200
The offer would be set at a price of €2.70 per share. It would cover a maximum of 926,000 shares, representing 1.51% of Unify Group's share capital. The company would allocate a maximum amount of €2,500,200 to this transaction, financed from its available cash.
The proposed price represents a premium of 56.6% compared to the volume-weighted average price over the 60 trading days preceding the announcement. The transaction would take place within the framework of the repurchase program authorized by the general meeting of June 8, 2026, in its eighth resolution.
The offer would be conducted according to the simplified procedure provided for in articles 233-1 and subsequent articles of the General Regulations of the Financial Markets Authority (AMF), subject to the AMF's compliance decision. It would be open for a minimum period of 10 trading days.
If the number of shares tendered exceeded 926,000, each shareholder's request would be reduced proportionally to the number of shares tendered, in accordance with article 233-5 of the same regulations.
The two executive shareholders do not intend to tender their shares
Pascal Chevalier, Chief Executive Officer, who holds 19.7% of the capital and 28.47% of voting rights, stated that he does not intend to tender his shares to the offer. Gautier Normand, Deputy Chief Executive Officer, who holds 6% of the capital and 7.99% of voting rights, made the same statement.
On September 11, 2026, the board of directors established an ad hoc committee composed of independent members: Patrycja Mothon, who chairs it, Laëtitia Vuitton and Jérôme Masurel. On the recommendation of this committee, the firm Sorgem Evaluation, represented by Claire Karsenti, was appointed on September 25, 2026 as independent expert. It is tasked with preparing a report on the financial terms of the offer and ruling on its fairness.
The board of directors will make a final decision on the offer and issue its reasoned opinion based on the expert's fairness opinion, at a forthcoming meeting. Unify Group, listed on Euronext Growth Paris, also published its half-yearly results on the same day in a separate press release.
