UNIFY Group signs agreement to acquire SPAS Organisation and its 20 venues
The group listed on Euronext Growth Paris has signed an agreement to integrate into its Event Flow division a organizer of twenty venues dedicated to organic products and wellness. The €9 million figure mentioned refers to the target's annual revenue, not the transaction price.
Agreement signed, finalization pending regulatory approval
UNIFY Group has concluded an agreement in view of acquiring SPAS Organisation, a French organizer of consumer and professional venues dedicated to organic products, natural health, wellness and lifestyle. The transaction has not yet been completed. Its finalization is conditional on the approval of SPAS Organisation's debt restructuring agreement. This point establishes the exact stage of the transaction: the commitment has been made by the parties, but completion depends on a step concerning the target's own financial situation. The group moreover uses the conditional tense to describe the expected effects of the transaction, a sign that it presents it as an ongoing project rather than an accomplished fact. The amount associated with the announcement must be read with precision. SPAS Organisation achieves "nearly €9 million" in annual revenue, according to the press release. This figure measures the activity of the target company: it does not correspond to the transaction value. To put the order of magnitude into perspective, UNIFY Group achieved revenue of €529 million in 2025. Should the transaction be completed, SPAS Organisation would join Event Flow, the group's events division. The target claims 20 venues, 150,000 m² of exhibition spaces, 250,000 visitors welcomed each year and 5,500 exhibitors. Active for more than twenty years, the company brings together actors in organic products, agriculture, natural health, wellness, responsible consumption, cosmetics, tourism, catering and green growth. Its events address both professionals and the general public.
Thematic venues supported by Reworld Media's health and home brands
SPAS Organisation's portfolio includes several identified events, among which Marjolaine, Naturally, Vivre Autrement, Natexpo, MedFEL, Les Thermalies, Bien-être, Zen and Saveurs. It also includes the Zen & Bio network, present in several major French cities. UNIFY Group highlights established event brands and communities of visitors and exhibitors built up over a long period. The economic mechanism described by the group is based on the intersection between these venues and its press titles. The themes covered by SPAS Organisation (health, wellness, beauty, nutrition, home, lifestyle) overlap with those of several Reworld Media brands: Doctissimo, Top Santé, Aufeminin, Marmiton, Psychologies, Biba, Maison & Travaux and Le Journal de Maison. The stated objective is to use the audiences of these media to increase the visibility of the venues, enrich their editorial programming and create new formats for meetings between audiences, experts and partner brands. In other words, the group intends to combine its audience capacity and a physical meeting activity on common themes. Gautier Normand, Chief Executive Officer of UNIFY Group, places the transaction within the group's trajectory: "By carrying out this transaction, we would strengthen Event Flow with a reference player and continue building a model based on the complementarity of our expertise." The executive presents this convergence between content, knowledge, technologies and experiences as the group's "main lever for value creation."
An agreement in events followed by an acquisition in training
The project is part of the new organization presented by UNIFY Group in June, structured around four activities: Reworld Media (media), Ed'Learn (training), Event Flow (events) and Nyorda Group (technology and digital marketing). The group claims a model based on the complementarity of these expertise areas. This agreement preceded another external growth transaction for the group. On October 1, 2026, UNIFY Group acquired the College of Art & Design, a Brussels design school integrated into Ed'Learn. After the agreement concerning events in July, it was thus the training division that was the subject of an acquisition in October. Present in 11 countries, the group achieved 37% of its revenue internationally in 2025 and brings together 1,219 employees.
