Veolia Completes Acquisition of Clean Earth for $3 Billion in the United States
Veolia has finalized the acquisition of Clean Earth for $3 billion, a move that doubles its hazardous waste treatment activities in the United States and positions it as the second largest market player. This transaction brings the group's revenue in the United States to $6.3 billion and will generate $120 million in synergies by the fourth year.
Major Integration in the Hazardous Waste Sector
Veolia announced the financial closure of its acquisition of Clean Earth on Monday, marking a significant turning point in its positioning in the United States. The transaction, valued at $3 billion (approximately €2.6 billion), absorbs a complementary portfolio combining treatment, storage, and disposal capabilities of hazardous waste, along with 2,600 employees. The group now becomes the second largest player in the American hazardous waste market, strengthening its global position in a strategically important sector. This acquisition is part of an accelerated growth phase for Veolia in North America, where environmental standards are tightening and industrial demand is increasing. Clean Earth brings in approximately $1 billion in annual revenue and significantly enhances the group's treatment network. Veolia now has over 150 hazardous waste service sites across the country, including six high-temperature incineration units certified under RCRA, 33 EPA-certified treatment facilities, and over a thousand operating permits. This geographic expansion now covers regions previously unserved by the group, particularly the Pacific Northwest.
Financial Outlook and Integration Synergies
The acquisition is expected to contribute to earnings per share accretion starting from 2027, excluding impacts related to the purchase price allocation. The group anticipates a compound annual growth rate of at least 10% in EBITDA from hazardous waste activities over the 2024-2027 period. At the group level, the global hazardous waste activities will record a proforma revenue of €5.2 billion with an EBITDA margin of 17%. The valuation of the operation amounts to 9.8 times the estimated 2026 EBITDA, after considering annualized synergies. These financial parameters reflect the robustness of the cash flow profile and the quality of the assets acquired.

The acquisition comes at a time when hazardous waste treatment capabilities are becoming essential for industrial continuity and competitiveness. The sector benefits from increasing demand in high-potential industries: pharmaceuticals, healthcare, distribution, semiconductors, and clean energies.
