Laurence Mulliez Steps Down After Twelve Years as Chair
Laurence Mulliez has informed the board of directors of her decision to end her duties as a director and chair of the board of directors, effective after the general assembly on May 21, 2026. Having been a member of the board for fifteen years, she has supported the development and transformation of the group. The board of directors has decided to waive the attendance condition applicable to the 2022-2026 free share plan (7,412 shares) while maintaining the integrity of the performance conditions attached to this plan. The fixed remuneration paid over the period of 2026 amounts to 86,428 euros gross, in accordance with the 2026 remuneration policy.
Bertrand Cousin Appointed as Chair
On the recommendation of the nomination and remuneration committee, the board of directors has appointed Bertrand Cousin as chair of the board of directors, effective following the general assembly on May 21, 2026. An independent director since May 15, 2025, Bertrand Cousin also chairs the audit committee and has expertise in financial matters, governance, and supporting international growth companies, with more than 30 years of experience in France and internationally. The remuneration details for the new chair will be determined later by the board of directors and submitted for approval by the shareholders at a forthcoming general assembly. The presidency of the audit committee, previously held by Bertrand Cousin, will be subject to a future announcement.
