Worldline Announces a Capital Increase of 392 Million Euros
Worldline has announced the launch of a capital increase with the maintenance of preferential subscription rights, amounting to approximately 392 million euros in gross. This move marks the final stage of an equity capital raising of around 500 million euros aimed at supporting its strategic transformation plan, North Star 2030.
Strengthening Financial Structure
The capital increase with preferential subscription rights is intended to strengthen the financial structure of the Worldline Group. The net proceeds from this operation, combined with the capital increases reserved on March 10, 2026, for approximately 108 million euros, will fund the financing of the North Star 2030 plan. This program aims to accelerate the return to growth and restore strong cash flow generation for the leading European payment infrastructure and services group.
Details of the Share Issue
The issue involves 1.939 billion new shares at a price of 0.202 euros per share. Each existing share entitles the holder to a preferential subscription right to acquire 6 new shares. The subscription period runs from March 17 to March 27, 2026. Strategic investors BNP Paribas, Bpifrance Participations, and Crédit Agricole S.A. have committed to subscribe in proportion to their shareholdings and for an additional amount of approximately 29 million euros. Banque Fédérative du Crédit Mutuel has committed to exercise the preferential subscription rights attached to the shares of SIX Group AG to subscribe for 179 million shares. A guarantee agreement signed on March 11, 2026, covers the amount not subscribed by these partners.
