Worldline Raises 500 Million Euros: BNP Paribas, Crédit Agricole, and Bpifrance Join as Shareholders

Initial Capital Increase Details
Worldline has approved the launch of a reserved capital increase of approximately 108 million euros, subscribed by three strategic investors: Bpifrance Participations (46 million euros), Crédit Agricole S.A. (30 million euros), and BNP Paribas (32 million euros). Authorized by the extraordinary general meeting on January 8, 2026, this operation represents the first stage of the capital increase project of about 500 million euros announced during the investor day on November 6, 2025. The issue involves 39,287,272 new ordinary shares at a unit price of 2.75 euros. Following this increase, Bpifrance Participations, Crédit Agricole, and BNP Paribas will respectively hold 9.6%, 9.5%, and 7.9% of the company's capital. The settlement-delivery of this increase is scheduled for March 10, 2026.
Use of Proceeds and Future Plans
The net proceeds from the reserved capital increase will be used to implement the North Star 2030 transformation plan and to strengthen the group's financial structure and flexibility. Worldline also plans to launch a second capital increase of approximately 392 million euros with preferential subscription rights maintained, open to all shareholders. The three strategic investors have committed to subscribing up to about 135 million euros in this second tranche, and four banks have provided a guarantee commitment of 257 million euros. This second increase is expected to be launched in March 2026, subject to market conditions and the approval of the prospectus by the Financial Markets Authority.
