Capgemini announced on September 10, 2026 the launch of its thirteenth employee share ownership plan (Employee Share Ownership Plan, ESOP). The scheme is offered to approximately 97% of the group's employees and aims to involve employees in the development and performance of the company.
The plan will result in a capital increase reserved for employees covering a maximum of 3,000,000 shares, or 1.77% of existing capital. As the 2021 ESOP plan expires at year-end, this new plan will help maintain employee shareholding at around 8% of Capgemini SE's share capital.

According to the planned timeline, the reservation period will be open from September 11 to 30, 2026 inclusive, followed by a subscription and withdrawal period from November 10 to 13, 2026 inclusive. The subscription price for new shares will be set on November 5, 2026 and the capital increase will be completed on December 17, 2026.
The Board of Directors, meeting on June 10 and 11, 2026, decided to authorize a dedicated share buyback envelope, separate from the multi-year buyback program of 2 billion euros announced on July 30, 2025. This envelope may be used within a twelve-month period to offset all or part of the dilutive effect of the capital increase. Employees will be able to subscribe under so-called leveraged and secured formulas, with the offering structured by Crédit Agricole Corporate and Investment Bank.
