Bekaert signs agreement to acquire Dextra, valued at €140 million, completion expected in 2027
The transaction has not yet been completed. Its completion, expected in the first half of 2027, remains subject to regulatory approvals and the other customary conditions for completing an acquisition.
An enterprise value of €140 million and an agreement still subject to conditions
Bekaert announced on 5 November 2026 that it had signed an agreement to acquire Dextra. The Belgian group presents the target as a provider of reinforcement solutions for sustainable construction. The transaction sets an enterprise value of €140 million for Dextra.
This amount represents the valuation of the target, meaning a measure that in principle includes its debt. It is not Dextra's revenue. Nor does it mechanically correspond to the sum paid to the sellers for the shares, which depends on the financial structure of the company being acquired.
The agreement has been signed, but the transaction has not been completed. Bekaert expects completion during the first half of 2027. This remains subject to the applicable regulatory approvals and the other customary conditions for completing an acquisition.
This timing point matters for reading the transaction. Until these conditions are lifted, Dextra remains outside Bekaert's scope, and the acquisition remains a contractual commitment.
Part of the timetable thus depends on decisions that belong neither to the buyer nor to the target. However, the enterprise value of €140 million already sets the order of magnitude of the commitment made by the group in construction.
Bekaert justifies the acquisition by its shift towards advanced materials
Bekaert puts forward two arguments to justify the transaction. According to the group, the deal “strengthens Bekaert’s position as an advanced materials and engineering solutions company”.
The second argument concerns the activity directly involved. The acquisition “significantly strengthens Bekaert’s Sustainable Construction offering with complementary solutions”, the press release states. The term complementarity refers to a range that the group already markets in construction.
Management therefore places the acquisition within a claimed positioning, and not only within a gain in size in an existing business. This strategic reading is that of the issuer, which will detail it before the financial community.
Olivier Biebuyck, Chief Executive Officer, and Seppo Parvi, Chief Financial Officer, will host a conference call for analysts and investors for this purpose on 5 November at 3:00 p.m. Central European Time (9:00 a.m. Eastern Time).
The presentation will subsequently be published on Bekaert's website. Olivier Biebuyck is also available to the media on the same day, between 1:30 p.m. and 2:45 p.m. Central European Time.
An acquisition backed by an existing presence in construction
Bekaert specialises in the processing of steel wire and its coatings. Its activities notably cover tyre reinforcements, steel wire for energy, automotive and agriculture, as well as cables and ropes.
The group is already present in construction, in particular with its Dramix steel fibres for concrete. The acquisition of Dextra therefore adds to a business in which Bekaert has its own offering, which is consistent with the logic of complementarity put forward by management.
