Infoclip: Rivage Opco's offer extended until October 30 before delisting
Rivage Opco has decided to postpone the closure of its offer, originally scheduled for October 13, 2026, following discussions with minority shareholders wishing to tender their shares but whose procedures with their financial intermediaries require additional time.
Rivage Opco obtains extension of offer period from Euronext Paris
In a press release published on October 8, 2026, Infoclip informed its shareholders that Rivage Opco, the initiator of the voluntary buyout offer targeting Infoclip shares it does not hold, has requested Euronext Paris to extend the offer period. The offer now runs until October 30, 2026 inclusive. According to the press release, this decision aims to allow "all shareholders who wish to do so to have the necessary time to participate in the offer under the best conditions".
Shareholders wishing to sell their shares must place a sales order on the market no later than the closing date. SwissLife Banque Privée, an investment services provider, will acquire the shares sold during the offer period, on behalf of the initiator, through Oddo BHF as an authorized market member. Euronext Paris will publish a market notice modifying the timetable.
Delisting from Euronext Access scheduled for November 5, 2026
The initiator recalled that the offer will be followed by the delisting of Infoclip shares from the Euronext Access market, in accordance with Article 3.2, paragraph 4 of the Euronext Access rules. The new timetable provides for the suspension of the stock price after the close of October 30, 2026, then, on November 3, 2026, the publication by the company of a press release announcing the results of the offer, as well as the notice of results and delisting by Euronext Paris.
Only the timetable is modified: all other terms and conditions remain unchanged. The information document relating to the offer, the company's latest financial statements and the valuation report prepared by Paper Audit & Conseil, as independent expert, are available from the company and on its website.
