Kalray: OpenChip Exercises Its BSAs and Takes 15% of Diluted Capital

Full Exercise of BSAs Arising from the May 2025 Strategic Agreement

Kalray received on July 31, 2026 the full payment of the exercise price for the warrant subscription rights held by OpenChip Software & Technologies. This exercise resulted in the issuance of 2,881,577 new Kalray shares. These BSAs had been issued upon the signing of the strategic agreement between Kalray and OpenChip on May 22, 2025, with an exercise deadline set for July 31, 2026. The new shares resulting from this exercise represent approximately 15% of Kalray's capital on a fully diluted basis, according to data as of June 30, 2026. This dilution reflects the extent of the stake taken by OpenChip in the capital of the intensive data processing technology provider.

OpenChip Becomes a Shareholder of Kalray Through the Exercise of Its BSAs

OpenChip Software & Technologies, founded by the Barcelona Supercomputing Center and GTD Software Engineering, develops a range of accelerators based on RISC-V architecture for artificial intelligence and high-performance computing applications. Kalray, a fabless company specializing in processors for massive data processing, offers hardware and software acceleration solutions as well as co-development of processors optimized for sectors such as data centers, artificial intelligence, telecommunications, space and defense. This May 2025 strategic agreement between the two companies aimed to combine their respective expertise in the intensive computing technology ecosystem.
