La Française de l'Énergie signs agreement to divest its stake in Norwegian wind energy, first step in its refocusing
La Française de l'Énergie (FDE) announced on October 26, 2026 that its Norwegian subsidiary Greenstat AS had signed a share purchase agreement in favor of Zephyr AS. This is the first asset disposal completed as part of the portfolio rationalization program presented by the group on October 6, 2026.
Up to 4 million Norwegian crowns, including a portion linked to investment
The agreement concerns all 14,010 shares held by Greenstat in Elgane Vind AS, a company developing wind energy projects in Norway. These securities represent Greenstat's entire stake, equivalent to 56.04% of the capital.
The consideration may reach 4 million Norwegian crowns (approximately 0.34 million euros). It is composed of 1.7 million crowns payable upon completion of the transaction and an additional 2.3 million crowns, conditional on reaching a final investment decision on the project, in accordance with the contractual terms.
Once the transaction is completed, Greenstat will hold no further stake in the capital of Elgane Vind AS.
The group refocuses its resources on mine gas and biogas
FDE presents this divestment as the first step in exiting its non-strategic assets. The group indicates that it is prioritizing its core operations and assets that generate cash flows, or are closest to generating them, in particular in mine gas and biogas, backed by long-term contracts.
According to the company, the proceeds from the sale will contribute to its cash preservation objectives, while the conditional price supplement preserves its economic interest in the future development of the project.
"This divestment illustrates our discipline: we are concentrating our capital and teams on assets that generate cash flows today, particularly mine gas and biogas," said Antoine Forcinal, Chief Executive Officer of FDE, according to the press release. Olav Rommetveit, Chief Executive Officer of Zephyr AS, indicated that the acquirer intends to take the project forward to its next phase.
Completion subject to contractual conditions
The completion of the divestment remains subject to the satisfaction or waiver of the conditions provided for in the agreement.
The payment of the second tranche of 2.3 million crowns depends on the final investment decision on the wind energy project. The group has scheduled its next communication milestone for the shareholders' general meeting on December 10, 2026.
