Mexedia Loses Control of Telvantis, Diluted to 49% Following AmeriCrew Operation
Mexedia announced on Tuesday that its stake in Telvantis has been reduced from 75% to 49%, following the completion of Telvantis's acquisition of AmeriCrew's operational entities. This dilution, which occurred without any sale of shares by Mexedia, results in the loss of control of Telvantis and will have significant accounting implications for the Italian company listed in Paris.
Dilution Resulting from the Issuance of Shares by Telvantis
The decrease in Mexedia's stake from 75% to 49% is exclusively the result of the dilutive effect related to the completion of the acquisition of AmeriCrew by Telvantis on June 23, 2026. To accomplish this acquisition, Telvantis issued new Series G Voting Convertible Preferred Stock to the shareholders of AmeriCrew. Mexedia did not sell any of its own Telvantis shares. The operation had been announced on May 5, 2026.
Loss of Control and Major Accounting Impact
Due to this reduction in shareholding below 50%, Mexedia no longer holds a controlling interest in Telvantis. Consequently, Telvantis will no longer be fully consolidated in Mexedia's financial statements.
