Mexedia: a first €1 million tranche of a €20 million placement subscribed by Likan AG at €1 per share
This first issuance, subscribed by Swiss investor Likan AG at a fixed price of €1.00 per share, opens a transaction executed in tranches. The final dilution will depend on the volume actually issued under the authorised envelope.
One million new shares admitted to trading on Euronext Growth Paris
On 5 November 2026, Mexedia obtained the admission to trading on Euronext Growth Paris of 1,000,000 new ordinary shares. These securities correspond to the first tranche of the capital increase reserved for Likan AG, a company under Swiss law headquartered in Zug.
The transaction is based on a fixed-price equity investment agreement, signed on 29 October 2026 for an amount of up to €20 million. This agreement implements the resolution adopted the previous day by the company's extraordinary general meeting of shareholders.
Upon signing, Likan AG subscribed and fully paid up this first tranche of €1 million, at a fixed price of €1.00 per share. Of this unit amount, €0.02 is allocated to share capital and €0.98 to the share premium.
The new shares have the same characteristics as the existing ordinary shares. The capital increase is executed in a divisible manner and in tranches, with waiver of pre-emptive subscription rights, pursuant to Article 2441, paragraph 5, of the Italian Civil Code.
Shares issued in the subsequent tranches will be the subject of an application for admission to trading after their issuance, and the company has undertaken to inform the market. Each new tranche executed will give rise to an issuance of shares, followed by an application for admission to trading.
This admission constitutes an update on the execution of a transaction already brought to the attention of the market on 28 and 29 October 2026, under Article 17 of the European Market Abuse Regulation.
A dilution of 1% reduced to 0.8931% on this first tranche alone
Following this issuance, Mexedia's subscribed and paid-up share capital amounts to €57,340,000. It is represented by 9,353,129 ordinary shares, with no par value.
The company calculates the dilutive effect of this first tranche: a shareholder who held 1% of the capital before the issuance now holds 0.8931%. This indicator reflects the weight of the one million shares created within a now-enlarged capital.
This first issuance represents only a fraction of the total envelope. Meeting on 28 October 2026 in Rome on second call, the shareholders had authorised an issuance of up to €20 million, share premium included, i.e. up to 20,000,000 new shares at a price of €1.00.
If the envelope were fully used, the number of shares created would exceed the total number of securities currently making up the capital. The dilution measured on the first tranche therefore provides only a partial indication of what the full transaction would entail.
The issuance did not require a prospectus approved by the Autorité des marchés financiers or by Consob, the Italian regulator. The company refers to its press release of 29 October 2026 for a description of the risks associated with the transaction.
An issue price far from the trading levels of October
The fixed price of €1.00 per share is clearly below recent trading levels: on 14 October 2026, the stock had regained a resistance level of €3.76 during the session.
Mexedia presents itself as an industrial holding company operating, directly and through its subsidiaries, in telecommunications and digital services. It controls Stantup Service, 51% owned, which on 26 October 2026 extended its partnership with Fastweb until the end of 2028.
Likan AG, incorporated in 2007, is a Swiss public limited company registered in the commercial register of the canton of Zug. According to its corporate purpose, it takes stakes in companies in Switzerland and abroad, finances businesses and provides management services to its affiliated companies.
