Mexedia raises €500,000 from Rockbridge and completes its capital increase
Mexedia completed the second tranche of the capital increase reserved for Rockbridge Capital Management, thereby fully implementing the operation decided by its board of directors on July 24, 2026. This milestone is part of an investment agreement concluded on July 22, 2026.
An issuance of 200,000 shares at €2.50
The Italian technology company, listed on Euronext Growth Paris, announced on September 28, 2026 that it had completed the second tranche of the reserved capital increase provided for by the investment agreement concluded with Rockbridge Capital Management AG on July 22, 2026.
This tranche was subscribed for an amount of €500,000, fully paid in cash by the investor, through the issuance of 200,000 new ordinary shares at the fixed price of €2.50 per share. The subscription price was allocated €10,000 to share capital and €490,000 to share premium.
With this completion, the capital increase decided by the board of directors on July 24, 2026 is fully implemented and no shares remain to be issued under this decision. Following the issuance, the share capital amounts to €57,320,000, represented by 8,353,129 ordinary shares with no par value.
Admission scheduled for October 1, 2026
The admission of the new shares to trading on Euronext Growth Paris is scheduled for October 1, 2026. Since the company is traded on a multilateral trading facility, no prospectus is required in connection with the capital increase.
As a result of the issuance, a shareholder holding 1% of the capital before the transaction holds 0.9761% afterwards. According to the breakdown communicated by the company, Rocket Sharing changes from 27.64% to 26.98% and Heritage Ventures from 12.82% to 12.51%, while the "Market and other investors" line, which includes the investor's stake, changes from 59.54% to 60.51%.
The investment agreement concluded with Rockbridge provides for an overall commitment of €2,000,000. The use of the balance of the commitment, namely €1,000,000, remains subject to a new decision of the board of directors taken in the exercise of the delegation.
