Prodways Group: agreement to divest DeltaMed, second disposal of the Systems division
The transaction concerns the Materials business of the Systems division and remains subject to shareholder approval at the general meeting scheduled for December 2, 2026.
It constitutes the second disposal carried out as part of the strategy announced in 2025, following the sale of the Software business.
DeltaMed, dental subsidiary with limited synergies with the group
Prodways Group announced on October 28, 2026 that it had signed, following a competitive sale process, an agreement for the disposal of its DeltaMed subsidiary to a group specialized in the dental sector. The agreed sale price is €10.25 million for 100% of the company's shares.
DeltaMed develops materials and processes for the dental sector and additive manufacturing. It works primarily for major international players in dentistry, its main market, and generates recurring EBITDA of approximately €1.6 million on an annual basis.
According to the group, since the refocusing of the Printers business on ceramic applications, DeltaMed now presents very few synergies with the other activities of Prodways Group.
Completion subject to the December 2, 2026 vote
The completion of the transaction remains subject to approval by the general meeting of shareholders, scheduled for December 2, 2026 at 2:30 p.m. The notice of meeting was to be published on the same day as the announcement on the company's website.
This disposal takes place a few months after that of the Software business, the first transaction completed as part of this strategy and approved by the general meeting. According to the company, the plan aims to "materialize the value of the Systems division's activities for the benefit of shareholders".
Partial distribution of proceeds subject to a second vote
Prodways Group specified that part of the proceeds from this disposal should be distributed to its shareholders. This distribution will be subject to approval at the next general meeting called to approve the accounts for the 2026 financial year.
For DeltaMed, the group believes that alignment with a player in dental products and materials will provide it with an environment suited to its market to continue its development.
