Prosus: capital repayment of €0.28 per share, dividend option until November 25
Prosus announced on October 28, 2026 the completion of formalities relating to distributions to shareholders approved at the annual general meeting on August 26, 2026, following the expiration of the mandatory creditor opposition period.
N Shares: capital repayment by default, optional dividend
For the fiscal year ended March 31, 2026, holders of ordinary N shares will receive by default a gross capital repayment of 28 cents of euro per share, drawn from share capital. This payment is not subject to Dutch withholding tax on dividends or South African dividend tax.
These shareholders may opt, until November 25, 2026, for a distribution in the form of a dividend, drawn from retained earnings. Subject to Dutch withholding tax of 15%, this dividend amounts to 23.8 cents of euro net per N share held via Euronext, for shareholders not benefiting from any exemption or reduction.
Ordinary A1 and B shares will receive a dividend of 3.30400 cents of euro and 0.000028 cent of euro per share respectively. For N shares held in South Africa via Strate, the gross distribution amounts to 520.23860 cents of rand, based on an EUR/ZAR rate of 18.57995 as of August 26, 2026.
On Euronext Amsterdam, the ex-date will occur on November 9, 2026, with a record date set for November 10 and payment on December 3, 2026. Transfers of N shares between the JSE and Euronext Amsterdam will not be permitted from November 6 to 10, 2026 inclusive.
