Shell signs agreement to sell its 16.67% stake in North West Shelf to XRG for $1.45 billion
Announced on 3 November 2026 from Perth, the agreement provides for the takeover of the 16.67% interest held by the group in this Australian project by subsidiaries of XRG P.J.S.C.
The base consideration is set at $1.45 billion, to which an additional payment may be added.
An agreement to sell a non-operated interest to XRG subsidiaries
The seller is Shell Australia Pty Ltd, a wholly owned subsidiary of Shell plc. The agreement concerns its non-operated interest in the North West Shelf (NWS) project: Shell does not conduct operations there.
The buyers are wholly owned subsidiaries of XRG P.J.S.C. The transaction is at the stage of a signed agreement; the sale is therefore not yet completed.

The base price remains subject to the customary adjustments for this type of transaction. An additional payment is also included, the payment of which is subject to the achievement of a contractual milestone.
Shell's remuneration thus combines an adjustable fixed portion and a conditional variable portion. The base amount therefore does not necessarily correspond to the final amount to be received.
A sale announced five days after higher quarterly results
On 29 October 2026, Shell had reported adjusted earnings of $10.8 billion for the third quarter, compared with $5.4 billion a year earlier. The group had indicated at that time that it had reduced its net debt.
On the same date, it had launched a new $5 billion share buyback programme. The base consideration for the North West Shelf sale should be viewed in light of this order of magnitude.
