Vetoquinol completes merger-absorption of its Swedish subsidiary Scandinavia
Vetoquinol announced the completion of the simplified cross-border merger of its Swedish subsidiary Vetoquinol Scandinavia AB. The transaction, which became final on July 31, 2026, results from the absorption of the Nordic structure by the French parent company.
Vetoquinol SA proceeded with the merger by absorption of its subsidiary Vetoquinol Scandinavia AB under the simplified regime for cross-border mergers. The transaction is carried out within the framework of applicable provisions of the French Commercial Code relating to cross-border transactions within the European Union.
Vetoquinol SA, which held all shares of Vetoquinol Scandinavia AB, was able to use the simplified procedure. The suspensive conditions were waived and the certificates required for the merger were issued by the competent authorities.

All active and passive assets of Vetoquinol Scandinavia AB were universally transferred to Vetoquinol SA as of July 31, 2026 at 23:59. The Swedish subsidiary, registered in the Swedish Commercial Register under number 556671-9190, was dissolved without liquidation on the date of final completion of the merger.
No increase in capital nor any exchange of securities were carried out as part of this transaction.
