Archos Initiates a Warrant Issue to Raise up to 1.98 Million Euros
Archos announces the launch of a warrant issue with the maintenance of the shareholders' preferential subscription rights. The operation targets a maximum gross product of 1.983 million euros and aims to finance the continued growth of the group.
An Operation Backed by Management Commitments
The issue involves a maximum of 9,675,503 warrants to be subscribed at a unit price of 0.005 euro, with a ratio of 1 warrant for every 6 existing shares. The exercise price of the warrants is set at 0.20 euro per new share, reflecting a premium of 9% over the last quoted price and 11% over the theoretical price after the detachment of the preferential subscription right.
The operation is not subject to a completion guarantee under the law, but the Company has received subscription commitments covering 100% of the issue amount from the management. The detachment of the preferential subscription rights will occur on May 11, 2026, with a trading period for these rights from May 11 to May 22, 2026, inclusive. The subscription period extends from May 13 to May 26, 2026, inclusive.
A Strategic Turn for the Group Towards Professional Markets
Loïc Poirier, CEO of Archos, highlights the profound transformation of the group since 2022. The group has shifted from consumer electronics to professional markets, particularly the Defense sector. The consumer business, which accounted for about 40% of the revenue in 2022, is expected to be less than 5% in 2026.
The group's revenue has more than tripled in three years, rising from 14.3 million euros in 2022 to 47.9 million euros in 2025. The group aims to exceed 90 million euros in 2026. This transformation allows the group to reach a new milestone and involve shareholders in the company's growth dynamics.
