Antin: record disposals in the third quarter, €2.9bn in distributions but fee-generating assets down
Antin reported on 5 November 2026 a record level of disposals signed in the third quarter. These transactions are expected to result in approximately €2.9bn in distributions to investors in its funds.
Over twelve months, fee-generating assets fell 2.4% to €21.3bn, while total assets under management rose 0.6% to €33.5bn. This gap matters for a listed asset manager: management fees, which the group defines as recurring revenue, are based solely on the portion of assets that generates fees.
The group confirmed the financial outlook presented with its half-year results and maintains a stable distribution target for fiscal year 2026.
Three disposals signed, approximately €2.9bn in distributions expected
The three transactions involve holdings of the Flagship III and IV funds. The sale of 30% of Sølvtrans (operator of 48 live-fish carrier vessels for aquaculture) to GLIL was completed during the quarter. The sale of the entirety of Idex, a European energy infrastructure platform, to Infrastructure Investments Fund is expected to be completed in the first quarter of 2027.
The sale of a majority stake in Vicinity, an urban heating and cooling network present in 12 major US cities, to Harrison Street Asset Management is expected in the first half of 2027. It will be the first exit by a Flagship fund in North America and a first for the Flagship IV fund.
According to Antin, each transaction generates, or is expected to generate upon completion, a gross multiple of at least 2.0x, subject to currency effects and customary conditions. At its half-year publication on 9 September 2026, the group estimated expected distributions from the Sølvtrans and Idex transactions alone at approximately €2.1bn.
The addition of Vicinity brings this estimate to approximately €2.9bn, or €3.3bn including co-investments. These distributions should raise the DPI ratio (distributions relative to called capital) to 0.9x for Flagship III, compared with 0.6x at the second quarter, and to 0.3x for Flagship IV, compared with 0.1x.
Alain Rauscher, chairman and chief executive officer, refers to “three flagship disposals” signed “despite a difficult M&A market and persistent economic and geopolitical uncertainty”.
End of Mid Cap I's investment period weighs on the fee base
The €0.5bn decline in fee-generating assets mainly reflects Mid Cap I's move into its post-investment period on 2 April. This change reduced the base by €0.9bn, a decrease partly offset by €0.3bn of additional capital deployed in Flagship III, Fund III-B, Flagship IV and Mid Cap I.
In the third quarter alone, these assets rose 0.6%, from €21.2bn to €21.3bn, thanks to €0.1bn of gross inflows. Total assets under management increased by €0.2bn over twelve months, mainly thanks to €0.3bn of co-investments raised, value creation having been offset by distributions to investors.
Further adjustments are scheduled: NextGen I will apply a reduced fee rate on its invested capital from 2 December 2026, and Flagship III is expected to enter its extension period on 9 December, with a reduced rate of 0.75%. Completed disposals also reduce the fee base of the following quarter by their acquisition cost.
At its publication on 9 September 2026, the group had already cited among its risks the decline in management fees linked to the reduced base of Mid Cap I and the delayed activation of Mid Cap II.
Investments up year on year, Mid Cap II fundraising ongoing
Signed investments reached €2.4bn over twelve months, compared with €1.0bn a year earlier, spread across six transactions (three for Flagship V, two for Mid Cap I, one for NextGen I). At 30 September, Flagship V was 58% committed and NextGen I 72% committed.
Fundraising was nil over the period, compared with €0.4bn a year earlier. Mid Cap II, launched in the first half of 2026, has begun receiving commitments from several long-standing investors. Its activation is expected to coincide with the signing of its first investments; in September the group had mentioned activation in the fourth quarter of 2026.
On performance, the gross multiple of Flagship III rose 0.1x over the quarter, to 1.8x, while those of Flagship IV, Flagship V, Mid Cap I and NextGen I remained stable. Fund III-B, also stable at 1.4x, remains classified below its objectives.
For shareholders, the interim dividend of €0.28 per share, or €49.8m in total, was paid on 22 October, and the 2026 distribution should remain stable at €0.71, subject to approval by the 2027 general meeting. A share placement carried out in September raised the free float to 17.5% of capital, compared with 15.8% previously.
The quarter thus combines disposals that accelerate liquidity returns to fund investors and a fee base which, after the decline linked to Mid Cap I, must still incorporate the reduced rates of NextGen I and Flagship III in December.
