Universal Music Group: in the third quarter, Downtown weighs on margins despite growth in subscriptions
On October 29, 2026, Universal Music Group reported third-quarter revenue of €3,394 million, up 11.7% at constant currency. Behind this growth, profitability shows two opposing trends: the consolidated adjusted EBITDA margin fell 0.5 points to 21.5%, while the margin for activities excluding Downtown rose 0.4 points to 22.4%. This divergence is mainly explained by the consolidation of Downtown, acquired in February 2026, whose adjusted EBITDA margin stands at only 6.7%. At the same time, recorded music subscriptions are accelerating, with revenues up 19.2% at constant currency.
Downtown dilutes margins despite improvement in the group's historical activities
The third quarter of Universal Music Group illustrates the contrasting effects of the integration of Downtown. With €484 million in revenue and €26 million in adjusted EBITDA over nine months, the acquired company posts a margin of 5.4%, significantly lower than that of the rest of the group. Its consolidation thus helps explain why the overall adjusted EBITDA margin fell from 22.0% to 21.5% over one year, while the margin excluding Downtown rose 0.4 points to 22.4%. Consolidated adjusted EBITDA nevertheless reached €729 million, up 9.0% at constant currency and 7.0% excluding Downtown. Recorded music is the main driver of this underlying improvement. Its adjusted EBITDA margin excluding Downtown gained 1.2 points to 26.2%, thanks in particular to relatively lower A&R expenses and better control of marketing and overhead costs. These effects are partly offset by the revenue and repertoire mix.
Subscriptions accelerate, but not all activities benefit from the same momentum
Subscription revenues from recorded music reached €1,422 million in the third quarter, up 19.2% at constant currency and 9.5% excluding Downtown. This latter growth rate stood at 8.0% over the first nine months. UMG attributes this growth to wholesale price increases and the continued rise in the number of subscribers. Physical sales also grew 17.4% at constant currency, to €392 million, driven by new releases and catalogue, notably in North America, Japan and Europe. Advertising-supported streaming increased 4.7% excluding Downtown, while downloads and other digital revenues declined 15.4% at constant currency, to €33 million. Music publishing presents a different picture. Despite revenues up 7.5% at constant currency, its adjusted EBITDA fell 3.5% at constant currency, to €136 million. Its margin excluding Downtown lost 1.5 points, to 24.2%, mainly due to a favourable timing effect on expenses in the third quarter of 2025. In merchandising, revenue fell 4.6% at constant currency, linked to a lower number of major tours.
Over nine months, revenue growth does not translate into margin improvement
Over the first nine months of 2026, Universal Music Group generated €9,588 million in revenue, up 11.1% at constant currency and 5.5% excluding Downtown. Adjusted EBITDA reached €2,039 million, an increase of 4.8% at constant currency. However, the adjusted EBITDA margin excluding Downtown declined by 0.4 points over this period, to 22.1%. UMG explains this trend by the increasing weight of artist and label services within recorded music, by higher central overhead costs, notably linked to professional fees, and by a €3 million loss in merchandising. The improvement observed in the third quarter alone therefore contrasts with the margin decline recorded over the first nine months as a whole. Management intends to continue its efficiency initiatives and to leverage the acquisition of Downtown. The next challenge will be to sustain the profitability improvement of the historical activities while integrating an acquisition whose margin remains well below that of the group.
