Wendel Launches Capital Increase Reserved for Employees at €59.90
On Thursday, Wendel is implementing a capital increase reserved for members of its employee savings plans, featuring a 30% discount on the reference price. This operation is part of the holding company's strategy to involve its employees in the group's growth, through a Corporate Mutual Fund.
50,000 New Shares at €59.90
Wendel's Executive Board decided on Thursday to carry out a reserved capital increase, set at a maximum nominal amount of €200,000, corresponding to 50,000 new shares with a nominal value of €4 each. The subscription price is set at €59.90, including a premium of €55.90 per share. This pricing is based on a 30% discount applied to the reference price of €85.56, calculated on the average of the closing prices of the 20 sessions preceding June 18. The total maximum amount of the increase, including the issue premium, reaches €2.995 million. Subscriptions will be made through the FCPE 'Relais Wendel 2026', approved by the Financial Markets Authority on May 21, 2026.
Subscription Open to Employees with a Minimum of One Month's Seniority
The beneficiaries are members of Wendel's Group Savings Plan (PEG) and the International Group Savings Plan (PEGI) of Wendel and its group companies. They must have at least one month's seniority as of the closing date of the subscription period. The subscription period for shares of the FCPE opens from June 19 to June 29, 2026, inclusive. The total release of subscriptions will take place on July 23, 2026, and the capital increase is set for July 24, 2026. For the year 2026, the company's matching contribution will be 200% of the subscribers' payments, up to the legal limit. The shares of the FCPE 'Wendel' must be held for five years, except in cases of early release provided for by labor law. The FCPE 'Relais Wendel 2026' will be merged into the FCPE 'Wendel' at the end of the operation.
Preferential Subscription Rights Removed, Voting Rights Preserved
The General Meeting on May 21, 2026, removed the preferential subscription rights of shareholders in favor of the beneficiaries of the offer. The new shares will be immediately assimilated into the existing shares and will carry current enjoyment. Voting rights attached to the shares held by the FCPE 'Wendel' will be exercised by the members in proportion to their shares in the fund, at each General Meeting of the shareholders. In the event of excess subscription requests, a reduction will be made by trimming, starting with the highest requests. Conversely, if the total requests are less than the maximum number of shares offered, the capital increase will only be carried out to the extent of the shares actually subscribed.
