Through a press release published on October 27, 2026, Amoéba announced the completion of its capital increase with maintenance of preferential subscription rights, for total demand of €10.1M, representing a subscription rate of 104.3%. Monetization of Willa to achieve financial independence by 2029
Beyond this horizon, Amoéba is counting on the monetization of its cosmetic asset Willa to have sufficient resources and achieve financial independence by 2029. Subject to the success of this operation, the company presents this financing as its last recourse to capital markets until then.
By this deadline, it targets revenue of approximately €40M with a current operating margin exceeding 10%. Its development plan then aims to double this revenue to approximately €80M by 2032, while nearly doubling the current operating margin relative to revenue.
In biocontrol, Chief Executive Officer Jean-François Doucet indicated his intention to accelerate execution of the commercial roadmap with the group's partners and extend the AXPERA technology to crops not covered by existing agreements. "The first significant commercial volumes are expected during the 2027 season," he specified.
In cosmetics, he reported discussions with several major industry players to best value the asset. The net proceeds from the transaction will finance ongoing activities, at approximately 30% for commercial development and approximately 70% for working capital requirements and general needs.
Nice & Green converts its receivables and strengthens its stake
The transaction resulted in the issuance of 32,294,779 new shares at a price of €0.30, each accompanied by a warrant (BSA). Subscriptions were funded with €3.70M in cash and €5.99M through compensation of bond receivables held by Nice & Green, the company's reference shareholder.
Its stake increases from 24.90% to 34.12% of capital. With the conversion of €3.0M carried out during the private placement of September 2026, bond debt to Nice & Green was reduced to €3.0M, compared to €11.9M on June 30, 2026.
The company expects this to result in a decrease in its financial expenses of approximately €0.5M per year, or €1.5M estimated over three years, with repayment of the remaining principal scheduled for September 2029.
Combined with the €7.9M private placement of September, the two transactions total €17.6M of equity raised, of which €7.6M in cash, and €9.0M in gross debt reduction.
Settlement-delivery and admission of the new shares and BSA to Euronext Growth Paris are scheduled for October 29, 2026. Two warrants will grant the right to subscribe for one new share at €0.60 until December 31, 2028, representing a maximum of 16,147,389 new shares for a maximum gross proceeds of €9.69M.
The capital will then be comprised of 129,179,117 shares. A shareholder holding 1% of capital and not having participated in the transaction sees its stake reduced to 0.75%, then to 0.67% in the event of exercise of all warrants.
