OVH Groupe Completes Acquisition of Gladia and Issues 1.8 Million Shares
OVH Groupe finalized on July 31, 2026 the acquisition of Gladia, a French specialist in audio transcription and voice AI. The transaction, announced on June 11, was settled through the issuance of 1.8 million new shares, representing approximately 1.18% of the hosting group's capital.
An acquisition paid in shares to integrate speech-to-text technology
The acquisition of Gladia was finalized through contribution in kind of securities, settled in OVH Groupe shares. For this transaction, OVH Groupe issued 1,807,186 new ordinary shares at the unit price of 15.66 euros, including a contribution premium of 14.66 euros. This price corresponds to the volume-weighted average price of the last twenty trading sessions of OVH shares, as of July 10, 2026. The issued shares represent approximately 1.18% of the share capital following completion of the transaction. A shareholder holding 1% of OVH Groupe's capital prior to the issuance sees their stake reduced to approximately 0.988% due to this dilution. Some of the shares are accompanied by share subscription warrants (BSA) designed to reflect deferred compensation mechanisms based on Gladia's achievement of performance objectives during fiscal years 2026 and 2027. In the event of full exercise of these BSA, 3,361,404 new shares could be issued, resulting in a maximum theoretical dilution of approximately 3.3%.
Gladia Strengthens OVH's Expertise in Multimodal and Agentic AI
Founded in 2022 in Paris, Gladia is a French startup specializing in transcription and audio intelligence. Its platform transcribes conversations in real-time and batch mode in more than 100 languages, transforming audio data into structured and actionable information. The company currently serves more than 300,000 developers and 2,000 enterprise clients. This acquisition enables OVH Groupe to strengthen its teams with new voice AI experts and internalize the speech-to-text technology components developed by Gladia. The group will thus be able to offer new voice AI services through its OVHcloud and OVHai offerings, while strengthening its dedicated AI Lab for the development of the next generations of sovereign generative, agentic and multimodal AI technologies.
Transaction Validated by Auditor Overseeing Contribution Without Reservation
The firm Naolys Audit was appointed as auditor overseeing contribution by order of the President of the Commercial Court of Lille-Métropole dated June 5, 2026. Given that OVH Groupe shares are admitted to trading on a regulated market, its mission was expanded to assess the fairness of the contribution's compensation, in accordance with the doctrine of the Financial Markets Authority. The auditor's reports dated July 17, 2026 contain no reservations.
