Charwood Energy: offer at €4.10 per share and delisting considered
Biomasse Vision 2030, which brings together the company's main historical shareholders, now holds 91.75% of the capital. It has announced its intention to file its offer shortly with the AMF, then to request a mandatory delisting, subject to the regulator's compliance decision.
Historical shareholders grouped within Biomasse Vision 2030
The main historical shareholders of Charwood Energy (Adrien Haller, Julie Bouvier, Franck Mainard, as well as the companies Johes and Fonds Eiffel Gaz Vert S.L.P.) contributed in kind to Biomasse Vision 2030 all of their 4,680,419 shares, representing 89.64% of the capital. Biomasse Vision 2030 is a company established for the purposes of the transaction.
It also acquired from the company 1M86 a block of 110,119 shares, representing 2.11% of the capital, at the price of €4.10 per share. Biomasse Vision 2030 thus holds 4,790,538 shares, representing 91.75% of the capital and 91.68% of theoretical voting rights.
Crossing the threshold of 50% of the capital and voting rights requires it to file a public offer for the remaining shares. This obligation stems from Article L. 433-3, II of the French Monetary and Financial Code and Articles 234-2 and 235-2 of the AMF General Regulations.
The company states that maintaining its listing on Euronext Growth Paris "no longer appears today to be the most appropriate framework" for its needs. It specifies that it no longer plans to resort to financial markets to finance its development, in a stock market environment it considers "unfavorable to small capitalizations", marked by limited liquidity of the security and a reduced free float.
A premium of 18.16% over the last closing price
The simplified public purchase offer will concern all shares not yet held by Biomasse Vision 2030 (excluding treasury shares). The price of €4.10 per share was determined using a multi-criteria approach.
This price represents a premium of 18.16% compared to the last closing price on October 9, 2026. The premium reaches respectively 21.82%, 20.63%, 10.43% and 16.74% compared to the average prices weighted by volumes over 1, 3, 6 and 12 months.
In the event of a mandatory delisting, shares not tendered would be transferred to the offeror in exchange for compensation equal to the offer price, net of all costs. The securities would then be delisted from Euronext Growth Paris. SwissLife Banque Privée will act as presenting institution.
On the recommendation of an ad hoc committee of three members, two of whom are independent, the board of directors unanimously designated the firm Crowe HAF, represented by Olivier Grivillers, as independent expert. The firm is responsible for establishing a fairness opinion on the financial terms of the offer and the mandatory delisting. Charwood Energy also suspended, as of October 12, 2026, the execution of its liquidity contract entrusted to Kepler Cheuvreux.
